On November 4, 2026, Flowdesk Liquidity Solutions LLC said it was supplying tokenized stock to automated market maker pools operated by TSV LLC on Canton. Its announcement identifies the venue’s first listing as Canton Strategic Holdings stock, quoted on Nasdaq under the ticker $CNTN, with pools built on Tradecraft and Fairmint acting as transfer agent.
Flowdesk describes itself as the first liquidity provider to trade a tokenized National Market System stock in the United States under the SEC’s innovation exemption. The venue’s own public materials conflict with that account of trading availability. Its homepage still says, “Trading is not yet available.”
What the venue has disclosed
TSV’s public notice says it had not commenced operations as of the notice’s date. It commits to waiting until at least the 31st calendar day following publication before starting. The notice says its descriptions of functionality concern how the venue will operate upon commencement, rather than features merely under consideration. These are the operating terms against which to read Flowdesk’s announcement. The notice’s account of operations at publication does not establish whether trading is available today.
The contract disclosure is also tied to the publication date. The notice says, “Production Venue contracts have not yet been deployed as of the publication date of this Notice.” TSV promises to publish production contract identifiers and required deployment information before using those contracts in venue operations. The evidence reviewed for this article contains no independently verified live contract balances.
The notice specifies which assets will sit on the other side of stock trades. At commencement, paired assets will include Circle’s $USDC and Brale’s $SBC, each as issued on Canton. More broadly, TSV expects dollar-denominated stablecoins or other eligible non-security crypto assets available on the network. The notice names the intended pairs; it provides no verified inventory of currently funded pools or their balances.
Who can trade and who can supply liquidity
Eligible participant categories include retail investors, institutions, proprietary trading firms, liquidity providers and registered broker-dealers. Every participant must first be verified or credentialed. The notice allows direct access and, where supported, access through a broker-dealer or another eligible intermediary. Retail investors are eligible under these terms, but they must meet the venue’s verification requirements before they can connect a wallet and trade.
The issuer’s transfer agent performs identity checks for individuals and verifies legal entities and beneficial owners. It screens sanctions, reviews jurisdictional eligibility and associates approved wallet addresses with approved participants. These checks take place before authorization to trade and include other requirements imposed by law or venue policy. Belonging to an eligible participant category alone does not qualify a wallet for approval.
TSV proposes to enforce access restrictions through the contracts and the share register. On-chain credentials, allowlists and transfer restrictions limit pool interaction to Canton parties that TSV has approved after the checks. The notice describes pool contracts that reject transactions from other parties. Separately, the transfer agent maintains the issuer’s register and administers stock transfer restrictions. Shares can move only to parties it has verified and recorded, so approval covers both pool access and permission to hold or transfer the stock.
Liquidity providers face an additional entry condition. At commencement, only participants with a pool participation agreement with TSV may supply liquidity. Each provider takes responsibility for its regulatory status, including any reliance on the Covered Firm Exemption. The agreement also covers the provider’s consent to how pooled shares appear on the register and its obligations as a beneficial owner. Those include applicable reporting under Sections 13(d) and 16 of the Exchange Act.
Flowdesk’s regulatory disclosure identifies its basis for participating as the temporary exemption in SEC Release 34-106402, dated September 17, 2026. Flowdesk says it relies on the order’s exemption from the definition of dealer in Section 3(a)(5) of the Exchange Act. The disclosure states, “Flowdesk Liquidity Solutions LLC is not registered with the U.S. Securities and Exchange Commission as a broker-dealer.” Its participation rests on the exemption, a separate status from broker-dealer registration.
The disclosure also permits arrangements under which Flowdesk receives fees or other incentives for supplying liquidity or reaching pool volume thresholds. The quoted terms contain no fee schedule. A provider’s compensation may include arrangements with the venue as well as the pool mechanics described in TSV’s notice. Flowdesk’s announcement gives no verified return figure for supplying liquidity.
Pool mechanics and ownership of shares
TSV describes its initial AMM as a concentrated-liquidity design in the style of Uniswap v3. Providers allocate liquidity within specified price ranges, with pool-specific fee tiers or other configurable parameters. Before trading becomes available, TSV promises to disclose each pool’s pricing model, allocation method, fees and other material parameters. The notice also contemplates multiple designs over time, including constant-product pools, so future pools may use different mechanics.
Liquidity providers retain beneficial ownership of pooled stock. On the issuer’s register, the shares appear either in providers’ names as co-owners or under a nominee supplied by the transfer agent. Each provider’s interest is recorded on-chain and visible to the transfer agent. TSV has no ownership of or claim on those shares under the notice’s terms. Providers remain responsible for their obligations as beneficial owners.
Before admitting a stock, TSV says it will verify that holders receive the rights and privileges required by the exemption for conventional shares of the equivalent class. That review covers economic interests, dividends, voting, residual assets upon liquidation, corporate actions, proxy materials and issuer communications, as applicable. The notice sets this requirement for admission. The reviewed evidence contains no independently completed verification of shareholder rights for a live pool.
Flowdesk’s announcement and TSV’s current homepage remain unreconciled on trading availability. The reviewed evidence contains no independently verified production deployment or pool balances to resolve that conflict.
